These Terms of Service govern your use of FluxPe's cross-border payment services and related platforms. Please read these terms carefully before using our services.

Important Legal Agreement

These Terms of Service constitute a binding legal agreement. By using FluxPe services, you agree to comply with all terms, conditions, and applicable laws. Please consult legal counsel if you have questions about these terms.

1. Acceptance of Terms

  • By accessing and using FluxPe services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
  • These terms constitute a legally binding agreement between you and FluxPe Technologies Pvt. Ltd.
  • If you do not agree to these terms, you must not use our services.
  • We may update these terms from time to time, and continued use constitutes acceptance of such changes.

2. Description of Services

  • FluxPe provides cross-border payment processing services, merchant payment solutions, and related financial technology services.
  • We facilitate UPI, card, wallet, and bank transfer payments for businesses and merchants.
  • Our services include payment gateway integration, settlement services, fraud prevention, and analytics.
  • We may introduce new features and services, which will be subject to these terms unless otherwise specified.

3. Eligibility and Account Registration

  • You must be at least 18 years old and have the legal capacity to enter into contracts.
  • Businesses must be properly registered and authorized to conduct financial transactions.
  • You must provide accurate, complete, and current information during registration.
  • You are responsible for maintaining the confidentiality of your account credentials.
  • You must notify us immediately of any unauthorized use of your account.

4. Regulatory Compliance

  • All transactions must comply with applicable laws, including but not limited to RBI guidelines, FEMA regulations, and anti-money laundering laws.
  • You must complete KYC (Know Your Customer) verification as required by Indian financial regulations.
  • Cross-border transactions are subject to FEMA compliance and may require additional documentation.
  • We reserve the right to request additional verification documents at any time.
  • Non-compliance may result in account suspension or termination.

5. Prohibited Activities

  • Money laundering, terrorist financing, or any other illegal financial activities.
  • Processing payments for prohibited businesses (gambling, adult content, illegal substances, etc.).
  • Fraudulent transactions, chargebacks manipulation, or misrepresentation of business activities.
  • Violation of intellectual property rights or processing payments for counterfeit goods.
  • Any activity that violates applicable laws or regulations in India or internationally.

6. Fees and Charges

  • Transaction fees are clearly disclosed during the payment process and in your dashboard.
  • Foreign exchange rates include a markup as disclosed in our pricing documentation.
  • Settlement fees may apply for certain transaction types or expedited settlements.
  • We reserve the right to modify fees with 30 days advance notice.
  • All fees are non-refundable unless explicitly stated otherwise.

7. Limitation of Liability

  • FluxPe's liability is limited to the amount of the specific transaction in question.
  • We are not liable for indirect, incidental, special, or consequential damages.
  • We do not guarantee uninterrupted or error-free service availability.
  • Our liability does not extend to third-party service failures or force majeure events.
  • These limitations apply to the fullest extent permitted by applicable law.

8. Account Termination

  • Either party may terminate this agreement with 30 days written notice.
  • We may immediately suspend or terminate accounts for violations of these terms.
  • Upon termination, you remain liable for all outstanding fees and obligations.
  • We will provide reasonable assistance for the orderly wind-down of services.
  • Certain provisions will survive termination, including payment obligations and liability limitations.

9. Dispute Resolution

  • All disputes will be resolved through binding arbitration in Bangalore, India, under the Arbitration and Conciliation Act, 2015.
  • Before initiating arbitration, parties must attempt to resolve disputes through good faith negotiations for 60 days.
  • The arbitration will be conducted in English, and the decision will be final and binding.

10. Governing Law

These Terms of Service are governed by the laws of India. Any legal action or proceeding relating to these terms will be subject to the exclusive jurisdiction of the courts in Bangalore, Karnataka, India.

11. Force Majeure

Neither party will be liable for any failure or delay in performance under these terms due to circumstances beyond their reasonable control, including but not limited to acts of God, government actions, natural disasters, cyber attacks, or other force majeure events.
